Bio
        Susan K. Carter has served as a director of onsemi since October 2020. Ms. Carter brings to the board over
            three decades of financial and management experience in the manufacturing, automotive, aerospace, defense,
            and engineering industries. Ms. Carter served as senior vice president and chief financial officer of Trane
            Technologies plc (formerly Ingersoll Rand plc), a diversified industrial company, from October 2013 until
            her retirement in 2020. Prior to joining Ingersoll Rand, Ms. Carter served as executive vice president and
            chief financial officer of KBR, Inc., a global engineering, construction and services company, from 2009
            through 2013, executive vice president and chief financial officer of Lennox International Inc., a global
            provider of climate control solutions for heating, air conditioning and refrigeration markets, from 2004 to
            2009, and vice president and chief accounting officer of Cummins, Inc. from 2002 to 2004. She also held
            senior financial and accounting roles at Honeywell International, DeKalb Corporation, and Crane Co. Ms.
            Carter has served on as a member of the board of directors of Amcor plc since January 2021 and on the board
            of directors of Stanley Black & Decker since October 2023. She also and previously served as a director of
            Air Products and Chemicals, Inc. and Lyondell Chemical Company.
        Ms. Carter received a Bachelor's degree in accounting from Indiana University and a Master's
            degree in business administration from Northern Illinois University. Ms. Carter is also a Certified Public
            Accountant. As the chief financial officer of global publicly-held corporations, Ms. Carter has extensive
            experience in accounting and financial reporting, international business, mergers and acquisitions, investor
            relations, information technology, finance and capital management, and environmental, social, and governance
            (ESG) matters.
